Telenor готов осуществить первую транзакцию по переводу денег в счет приобретения 67.25% акций индийского оператора Unitech Wireless за $1.2 млрд, в соответствие с соглашением от 28 октября 2008 года. После завершения первой транзакции, доля Telenor в индийской компании составит 33.5%.

Согласно ранее достигнутой договоренности, за $1.2 млрд в собственности Telenor должно было оказаться 60% акций индийской компании, однако, в изменившихся экономических условиях норвежцы сумели добиться пересмотра условий сделки, выговорив себе еще 7.25% акций компании.

Поглощение будет осуществлено в четыре фазы.

Completion of the Unitech Wireless transaction

On 28 October 2008 Telenor executed an agreement to acquire a controlling interest in Unitech Wireless, through subscription for new shares. The subscription for new shares in Unitech Wireless will, as previously announced, be completed in four phases.

Telenor and Unitech Ltd have agreed to proceed with completion of the transaction with certain adjustments.

While Telenor's initial investment under the agreement will continue to be the previously agreed INR 61.2 billion (approx. USD 1.2 billion), it has been agreed that Telenor, after this investment, would be holding 67.25% in Unitech Wireless (subject to regulatory approval). Upon completion of the first phase of the investment, Telenor's ownership percentage will be 33.5%.

The transaction, and the first phase of Telenor's investment, will be completed shortly, as the closing formalities related thereto have been finalised.

Telenor has finalised the Unitech Wireless transaction

(Fornebu, 20 March 2009) The Telenor Group today announced that it has completed the Unitech Wireless transaction and made its first investment of INR 12.5 billion (approx. USD 250 million). Following this investment, Telenor's ownership stake in Unitech Wireless is 33.5 per cent.

As previously announced, Telenor will inject a total of INR 61.2 billion (approx. USD 1.2 billion) of new equity into Unitech Wireless, which will result in a shareholding of 67.25 per cent (subject to regulatory approval). Telenor's remaining investment of INR 48.7 billion (approx. USD 970 million) will be completed in three tranches during 2009.

"This marks the formal entry of Telenor into the world's fastest growing mobile market and we are now embarking on an operational phase and the preparations for the launch of our services," said Telenor Group President and CEO, Jon Fredrik Baksaas.

During last year, the total number of mobile connections in India increased by more than 100 million. To take part in this continuing growth, Telenor will focus on a cost-efficient, swift and flexible network roll-out to optimise profitability. Unitech Wireless has recently entered into tower sharing agreements with Wireless-TT Info Service Limited (Tata Teleservices' tower company) and Quippo Telecom Infrastructure Limited, ensuring access to thousands of antenna sites at a reduced cost.
